9.2.19 Auflösung

Die Gesellschafter können mit einfacher Stimmenmehrheit die Auflösung der Gesellschaft beschließen. Im Fall der Auflösung der Gesellschaft hat die Generalversammlung die Liquidatoren und deren Entlohnung zu bestimmen.

The shareholders may decide to dissolve the company by a simple majority vote. In the event of the company's dissolution, the general assembly is responsible for appointing the liquidators and determining their remuneration.

Mit Bestellung der Liquidatoren erlischt die Bestellung der Geschäftsführer, dagegen bleiben die Befugnisse der Generalversammlung auch während der Dauer der Liquidation aufrecht.

Upon the appointment of the liquidators, the appointment of the managing directors is terminated. However, the powers of the general meeting remain in effect throughout the duration of the liquidation.

Wenn die Gesellschaft durch Beschluss der Gesellschafter aufgelöst wurde, kann die Auflösung wieder durch Gesellschafterbeschluss rückgängig gemacht werden, solange weder die Löschung der Gesellschaft beantragt noch auch eine Verteilung von Gesellschaftsvermögen an die Gesellschafter erfolgt ist.

If the company has been dissolved by a resolution of the shareholders, the dissolution can be reversed by another resolution of the shareholders, provided that neither the deletion of the company has been requested nor any distribution of the company's assets to the shareholders has taken place.
